The plain version: our offer is 0.3463 Curaleaf shares plus US$0.75 in cash for every Aurora share, which worked out to about US$4.00 per share as of August 10 — roughly a 45% premium to where Aurora was trading beforehand. For every 100 Aurora shares, that's about US$75 in cash and roughly 35 Curaleaf shares. Combined, the two companies would operate in 17 countries with about US$1.5 billion in trailing twelve-month revenue, nearly US$350 million in adjusted EBITDA, and at least US$40 million in expected annual cost savings. The letter also walks through the comparison we think matters: over the first half of 2026, CURA was up roughly 50% while ACB was down roughly 34%, and over the four quarters ending June 30, Aurora's net revenue fell 14%, adjusted EBITDA fell 78%, and operating cash flow turned negative.
