Not financial advice ok; Just an owner-operator truck driver who likes reading SEC filings.
I’ve been digging through the ADTX filings and wanted to share what I’ve found.
**The Ignite Story**
Earlier this year, ADTX acquired 100% of Ignite Proteomics in a transaction valued at approximately $36 million.
Now, ADTX has signed a definitive business combination agreement that values Ignite at approximately $150 million.
That’s the part that caught my attention.
Ignite is focused on functional proteomics and precision oncology. The goal is to help doctors make better treatment decisions by measuring actual protein and phosphoprotein activity in tumor tissue instead of relying solely on genetic information.
If the technology works and gains adoption, that’s a real problem being solved.
**The Bull Case**
✅ Definitive agreement valuing Ignite at approximately $150 million.
✅ Ignite is expected to become a separate publicly traded company.
✅ ADTX is expected to remain publicly traded.
✅ Volume has exploded into the billions of shares.
✅ Retail awareness is increasing rapidly.
✅ Borrow rates have reached levels I’ve never personally seen before.
**The Risks**
❌ The deal has NOT closed yet.
❌ There are still closing conditions, approvals, financing requirements, and regulatory steps.
❌ ADTX recently disclosed approximately 997.9 million shares outstanding.
❌ The company is using convertible note financing, which can lead to dilution.
❌ Micro-cap biotech stocks are extremely volatile.
**Interesting Math**
With approximately 997.9 million shares outstanding, a simple back-of-the-envelope calculation would suggest:
$150,000,000 ÷ 997,976,543 shares ≈ $0.15 per share!
That is NOT a prediction.
That is NOT a price target.
It’s simply a math exercise using the Ignite valuation and the currently disclosed share count.
**My Position**
I currently own 49,999 shares with an average cost of $0.0098.
I’m not claiming this is the next GameStop.
I’m not saying this is guaranteed to work.
I’m saying that after reading the filings, the Ignite story appears more interesting than most people realize.
If the deal closes successfully and management executes, I think the market will continue paying attention.
If not, I fully understand the risks.
My plan if this somehow becomes life-changing?
Pay off my truck.
Pay off my remaining debt.
Pay off my Costa Rica house.
Spend more time with my dog Romeo.
No Lamborghinis.
Just freedom.
Curious to hear what everyone else thinks after reading the filings.
