Something funny happened in the ADTX filings tonight, and it needs no finance background to enjoy.
A fund called Takeover Time 2026 LLC bought 3,420,439 shares of Aditxt for about fifty grand, which at penny-stock prices is a real pile of shares. Then they sat down to file the paperwork and hit a snag. The most recent publicly reported share count, the one every brokerage and data site still shows, is 815,921 shares. Run the division and their fifty-thousand-dollar pile comes out to 419% of the entire company.
So they did the only thing you can do when the arithmetic says you own a company four times over. They filed a Schedule 13D, wrote 10.9% on the cover because the form demanded a number, and attached a footnote to the SEC that politely flags the company's share count as unusable. The disclosed count appears stale, they explain, because using it would put them over 100% ownership, so the true percentage "remains subject to confirmation from issuer or transfer-agent records." A federal ownership filing that amounts to "we own a lot of this, we have no idea how much, and neither does anyone else."
It gets better. A 13D is the activist filing, the one you submit when you might want to rattle the board. The fund is named Takeover Time. And the purpose section says it has no plans to change or influence control of anything. They walked in wearing a jacket that says Takeover, filed the takeover form, and then clarified they're only here to watch.
Same docket, same day. Two other people looked at that exact 815,921 number, the one a different filer had just told the SEC is impossible, and used it without flinching. One reported 81,592 shares as roughly ten percent of the company. Another reported 80,100 shares as 9.8%. Eighty thousand shares, a tenth of a Nasdaq company, filed with a straight face. One of them then filed an amendment a few hours later showing he had already dumped every share and now owns zero.
So on a single day, on one public docket, one filer is documenting that the share count is a work of fiction while two others quote it as scripture, and the only honest answer to "how many shares does this company have" is a shrug from a guy who owns ten percent of it. The brokerages, for their part, still cheerfully list the market cap at around eight thousand dollars and the float at 815.92K, as though those digits refer to anything. More than three billion shares changed hands today in a company those same screens say has 815,921 of them.
Somebody bought 419% of a company for the price of a new car, the activist fund named Takeover wants nothing to do with a takeover, and the share count is whatever number you feel like using on a given afternoon. This is a real, listed, tradeable security that thousands of people are buying.
