**Ticker:** QNC (TSX-V) / QNCCF (OTC), moving to QNC on NYSE American starting \~Feb 24
**Sector:** Quantum Cybersecurity
**Market Cap:** \~$1B CAD (\~$700M USD)
# TLDR
Quantum eMotion just got approved to uplist to the **NYSE American**. Trading expected to start **Tuesday Feb 24**, bell-ringing on **Friday**. They're the **#1 holding in the Defiance Quantum ETF (QTUM)**, a $3.6B fund, ranked above Micron, Lockheed, ASML, IBM, Rigetti, and IonQ. An independent research firm (Inside Quantum Technology) valued their IP at **$2.5B median / $3.4B upper bound**. Current market cap is under $1B. They've got a growing deal pipeline across AI, energy, healthcare, and defense. Full breakdown below.
# The Company
QNC builds **quantum-safe cybersecurity hardware and software**. Their core tech is a patented Quantum Random Number Generator (QRNG) that uses electron tunneling to produce true randomness at 1.8 Gbps, which is about 10x faster than the photonic method most competitors use.
Why randomness matters: every encryption key and secure transaction depends on it. Quantum computers will eventually crack current encryption (RSA, ECC). Nation-states are already running "harvest now, decrypt later" programs, basically collecting encrypted data today so they can decrypt it once quantum computers catch up. That's why enterprises and governments are racing to adopt quantum-resistant solutions right now.
**Products:**
* **eCore-Q** \- QRNG hardware chip
* **Sentry-Q** \- cloud-based quantum-secure platform (already generating some early revenue)
* **eCrypto-Q SDK** \- developer integration tools
* **QxEaaS** \- Entropy-as-a-Service
* **eCMOS-Q** \- CMOS chip integration for mass manufacturing
ISO 27001 compliant. Working toward NIST FIPS 140-3 certification.
# The Thesis
# 1. NYSE American Uplisting, This Week
Got approved February 19. Trading begins on or about **Tuesday, February 24** under ticker **QNC**. Bell-ringing ceremony expected **Friday**.
What this changes:
* US institutional money that won't touch OTC or TSX-V can finally get in
* Liquidity and visibility go up
* Analyst coverage tends to follow major exchange listings
* OTCQB trading stops once NYSE goes live, so all US volume consolidates there
# 2. #1 Holding in QTUM ($3.6B AUM)
After the December 2025 rebalance, QNC became the **largest single holding** in the Defiance Quantum ETF at \~2.18% weighting (18.48M shares).
Here's who QNC ranks above in the fund:
|Company|Ticker|QTUM Weight|
|:-|:-|:-|
|**Quantum eMotion**|**QNC**|**\~2.18%**|
|Micron|MU|1.87%|
|MKS Instruments|MKSI|1.66%|
|Lam Research|LRCX|1.65%|
|Lockheed Martin|LMT|1.61%|
|ASML|ASML|1.51%|
IBM, Rigetti, IonQ are all further down. Every dollar that flows into QTUM creates passive demand for QNC shares. That's just how ETF mechanics work.
# 3. IP Valued at Up to $3.4B but Trading Under $1B
Inside Quantum Technology (IQT), a research firm dedicated to the quantum sector, ran a Monte Carlo valuation on QNC's QRNG technology portfolio:
|Metric|Value (USD)|
|:-|:-|
|Lower 95% bound|$1.580B|
|**Median**|**$2.504B**|
|Upper 95% bound|$3.435B|
Current market cap: under $1B CAD (\~$700M USD).
Now to be clear, this is a technology portfolio valuation, not a buyout price. It assumes they actually commercialize successfully across their target markets. But even the low end of $1.58B is more than double where it trades today. The real question is whether management can convert the tech into actual revenue.
# 4. Deal Pipeline Across Multiple Verticals
This is the part that caught my attention. QNC has been building out partnerships in a bunch of different sectors:
* **Energy Plug (Oct 2025)** \- embedding QRNG chips in energy storage systems. They formed a Joint Development Committee and are targeting pilot deployments in Q1 2026.
* **Exascale Labs (Nov 2025)** \- multi-year deal to integrate QRNG into AI compute infrastructure, specifically NVIDIA B200 GPU clusters.
* **Greybox Solutions** \- healthcare play. Sentry-Q integrated into a digital therapeutics platform. Already launched in the US as of Dec 2025.
* **Krown Technologies** \- fintech security. Got a perfect 100/100 security audit score and full production approval in Dec 2025.
* **PINQ²/IBM Qiskit** \- validation work using IBM's quantum computing framework.
* **Kirq Quantum Testbed** \- real-world testing through Numana's quantum communication testbed.
* **Jmem Technology** \- working on a quantum-resilient System-on-Chip.
Management has said there are more deals expected over the coming months. So this isn't a one-vertical story. They're spreading across energy, AI, healthcare, fintech, and defense.
# 5. Macro Tailwinds
The quantum cybersecurity market is projected to grow at **22% CAGR through 2030**. NIST already published post-quantum cryptography standards. Governments around the world are setting mandatory timelines for quantum-safe migration. QNC has both the hardware (QRNG chips) and the software (Sentry-Q), so they're positioned as a full-stack provider instead of just selling one component.
# Risks
* **They're basically pre-revenue.** There's some recurring revenue from Sentry-Q and EaaS, but nothing meaningful yet. This is still a speculative play.
* **Commercialization is the big question.** Having patents and having paying customers at scale are two very different things.
* **Dilution will probably happen.** Early-stage companies need to raise capital. That's just reality.
* **There's real competition.** IBM, Thales, ID Quantique are all in quantum security. QNC says they're faster (10x) and cheaper, but the big guys have way better distribution.
* **That IQT valuation only works if they execute.** If commercialization stalls out, the valuation gap stays a gap.
# What to Watch
