$SONM / $DNAX will become an AI infrastructure provider tomorrow

Tomorrow is the final day for SONM to file the 8-K confirming the closing of its asset sale to Social Mobile (NEXA). Once that filing drops, SONM becomes a clean public vehicle - no legacy business, no meaningful debt, small float, cash in the bank - and will subsequently rebrand to DNA X ($DNAX). I’ve been tracking SONM for several months through proxy filings, the Orbic hostile takeover attempt, the asset sale process, and the strategic activity around the public vehicle after the legacy business exits. Some of you have followed this with me in real time. This post is mainly for those who want to understand what’s happening when news finally breaks. To be clear upfront: DNAX is not the end-state business. The DNA X platform is a temporary placeholder to avoid shell designation by the SEC; a smokescreen, if you will. SONM is not "becoming a crypto exchange". What matters is what comes next. Based on months of research, I believe the clean SONM public vehicle is being positioned for a transaction with [Qumulus AI](https://www.qumulusai.com/), a vertically integrated private AI infrastructure company. The expected structure is not a traditional reverse merger, but a carve-out where the hardware layer (GPUs) sits in the public vehicle and is leased to Qumulus AI’s operating / cloud layer. Conceptually, this is the inverse of what [Applied Digital did with EKSO](https://www.nasdaq.com/articles/applied-digital-merge-cloud-unit-ekso-creating-ai-compute-platform) just a few weeks ago. On valuation: using Qumulus AI’s previously disclosed \~$285M valuation from a [failed merger ](https://www.nasdaq.com/articles/qumulusai-become-publicly-traded-company-through-reverse-triangular-merger-vincerx)earlier this year, and adjusting for the fact that the company now operates roughly double the GPU capacity it had at that time, I estimate a current private valuation north of \~$570M. Looking forward, Qumulus has disclosed plans to deploy \~5,800 NVIDIA B200/B300 GPUs in 2026. At conservative utilisation and pricing assumptions, that implies \~$200–250M in annual revenue flowing through the hardware layer. Even applying modest infrastructure multiples, that level of revenue supports multi-billion-dollar enterprise value for the public hardware vehicle. There is nothing public yet on the structure.
