So this is part IV check the previous part that was posted yesterday.
# ACT V
Mondays bell rang and the deal was sealed, we now know definitely who was behind the Friday
"premium-priced" $400 million lifeline for **$POET** at $21.00 a unit. Now that the ink has dried on the Form 6-K we have a name, **MMCAP..**
They are not the benevolent long-only tech evangelists the bulls cheered for. They are elite multi-strategy arbitrageurs who have a history. Take the time to investigate them yourselves and you’ll see they have spent years playing a rolling shell game, pinning their physical holding just under the 9.99% "insider" threshold.
They routinely dump common stock and load up on warrants until nearly 90% of their "long" position is composed of cheap derivatives, don’t believe me feel free to do the research it won’t take long. But here is some easy to see proof.
This morning, the $400 million raise officially closed, but instead of defending a $21.00 cost basis, the stock collapsed 13% into the low $13s . Why? Because MMCAP doesn't buy to hold . They buy to hedge. By bundling 19 million common shares with 19 million matching warrants MMCAP unlocked a risk-free printing press. They short the common shares to harvest retail FOMO, knowing they can exercise their warrants to cover their tracks and pocket the spread.
The 9.99% blocker provision isn’t a lockup; it’s a revolving door, letting them recycle capital while leaving retail holding a dilutive bag. Let’s start a slow-clap for **MMCAP,** played a perfect, passive-aggressive performance. They offered a premium floor, painted a picture of institutional trust, and proceeded to execute a pristine arbitrage extraction.
**TLDR: The phantom was never our savior. It was the house. And the house always wins.**
